上海市外地投资企业若干规定

第一条 为了进一步实行开放,创造更有利于外地企业和其他经济组织在上海投资的环境,繁荣市场,发展经济,制定本规定。
第二条 本规定适用于各类外地投资企业。各类外地投资企业是指上海市以外的各省、自治区、直辖市的各类企业和经济组织在沪投资开设具备工商登记条件的企业,包括:外地独资经营企业,外地企业、经济组织之间在沪合资经营企业,外地与上海合资经营企业。
第三条 开设外地投资企业的申请、审批程序为:
(一)外地独资、外地合资企业,属商业、饮食业、服务业、修理业的,向本市所在地的区、县人民政府经济协作主管机构(以下简称“区、县政府协作主管机构”)申请,由区、县政府协作主管机构审批;如需征地或新建、扩建生产经营场所的,区、县政府协作主管机构应会同有关
主管部门审批。
(二)外地与上海合资企业,属商业、饮食业、服务业、修理业的,向所在地的区、县政府协作主管机构申请,由区、县政府协作主管机构在征求上海方上级主管部门意见后审批。
(三)外地投资企业兴办工业,总投资规模在一千万元以下(含一千万元)的,应向所在地的区、县政府协作主管机构申请,其中与市属企业合资的,应直接向市级主管局申请,由这些机构负责审批。总投资规模在一千万元以上的,应向市人民政府协作办公室申请,由市人民政府协作
办公室会同市计划委员会审批。
(四)在本市经济技术开发区(以下简称开发区)开设企业,应先与开发区的联合发展公司洽谈,签订合同后,分别按照上述三项规定办理申请、审批手续。
第四条 对第三条所列项目,区、县政府协作主管机构和市有关部门,应在接到申请之日起三十天内决定是否批准;总投资规模在一千万元以上的项目,市人民政府协作办公室应在接到申请之日起六十天内决定是否批准。
审批决定应书面告知申请者。
第五条 外地投资企业经批准后,应向所在地工商行政管理部门注册登记。
合资经营的企业,在注册登记前应根据《上海市关于联营合同的若干规定》签订联营合同,并向工商行政管理部门备案。
第六条 外地投资企业经本市的工商行政管理部门注册登记后,应办理税务登记,申请印制或领购上海市统一发票。
外地投资企业应向本市税务部门照章纳税。外地与本市合资企业外地方所得的利润,可以返回当地缴纳所得税。如外地方分得利润仍然留在本市合资经营企业用于生产经营,由该地投资方财政税务部门决定是否对这部分利润征税。
第七条 外地投资企业应以一业为主,可以兼营其他项目。开设商店、货栈、贸易公司等的外地投资企业,其经营范围应以当地农副土特产品、原材料、工业品为主,也可以经营其他地区的商品和本市的商品。
外地投资企业,除国家另有规定外,均可经营批发业务,批发对象不限。
外地投资企业兴办工业的,应根据上海经济发展战略的需要,兴办耗能少、用料少、运量少、三废少、技术密集度高、附加价值高的企业,以及出口创汇和原料工业等类型的企业。
第八条 外地投资企业销售产品的价格或收费标准,应严格执行国家和本市的物价法规、规章、政策。凡属国家统一定价的,不得擅自提价,但允许下浮;凡属国家指导定价的,可以在浮动范围内定价;凡属市场调节价的,允许企业自行定价。
第九条 外地独资、外地合资企业的劳动计划指标及工资基金额度,由投资者自带;需在沪招聘职工的,应向所在地劳动部门申请办理。
外地与上海合资经营企业的劳动计划指标及工资基金额度安排,应在联营合同或协议中明确各方的责任。
在本市开发区设立的外地投资企业,其劳动计划指标、工资基金额度,由开发区统一向上海市劳动局申请解决。
第十条 外地独资、外地合资企业,凡需在本市进行基建或技术改造的,所需固定资产投资计划指标,应纳入各投资者所在省(含自治区、直辖市、计划单列市)的固定资产投资计划,所需建设资金和建筑材料、设备,均由投资者自行解决;所需建筑施工力量,可以在本市招标,也可
以自带施工队伍,但须经上海市建设委员会核准。有关征地拆迁和申请建筑执照事项,可以在所在地的区、县政府协作主管机构协助下,按照本市有关规定办理。
外地与上海合资企业进行基建或技术改造所需的计划指标、资金安排等,应在联营合同或协议中明确各方的责任。
第十一条 外地独资企业在本市投资新建房屋和其他建筑物的产权,除按本市有关规定给被拆房屋产权者以补偿外,均归投资者所有;合资企业的产权应在合同、协议中订明。
土地使用权的归属和土地使用费的缴纳,按国务院和上海市人民政府规定办理。
第十二条 外地投资企业的外地方,可派遣生产经营必需的负责人员和业务人员来沪,其数量由企业提出申请,审批单位确定。来沪人员应及时向企业所在地公安派出所办理寄住户口手续。
第十三条 外地合资企业,外地与上海合资企业的合资期限由合资者协商并在合资企业合同中订明。合资企业期满,或者提前终止时,应当对资产和债权、债务进行清算。合资者应当依照合同和国家有关法律、法规的规定,确定合资企业财产的归属。
前款所列合资企业在期满或提前终止时,应向本市的工商行政管理部门和税务部门办理注销登记手续。
第十四条 外地合资企业,外地与上海合资企业可以延长合资期限。
延长合资期限,应在期满三个月前,向原办理登记手续的工商行政管理部门办理相应手续。
第十五条 本规定不适用于外地企业与本市企业组建的企业集团。
第十六条 本规定由上海市人民政府协作办公室负责解释。
第十七条 本规定自一九八八年十二月一日起施行。上海市人民政府一九八四年十月四日发布的《关于兄弟地区来本市开店办厂的暂行办法》同时废止。

Regulations made under this section may be expressed to apply--
to Hong Kong ships, wherever they may be; and
to other ships while they are within the waters of Hong Kong.
Regulations made under this section may provide that the

PART III SHIPPING CASUALTIES INVOLVING A RISK OF POLLUTION

Subject to subsections (2) and (3), this Part shall apply in
relation
ll ships whether within or outside the waters of Hong Kong.
As respects a ship which--
is not a Hong Kong ship; and
is for the time being outside the waters of Hong Kong,

For the purpose of preventing or reducing pollution, or the
risk of
ution, the Governor may give directions as respects the ship or
its

to the owner of the ship, or to any person in possession or control
of
ship; or
to the master of the ship; or
to any salvor in possession of the ship, or to any person who is
the
ant or agent of any such salvor, and who is in charge of the
relevant

Directions under subsection (2) may require the person to whom
they
given to take, or refrain from taking, any action of
any kind
soever, and without limiting the generality of the
foregoing the

that the ship is to be, or is not to be, moved--
to or from a specified place, area or locality;
over a specified route; or
that any oil or other cargo is to be, or is not to be, unloaded
or
harged; or
that specified salvage measures are to be, or are not to be, taken.
If in the opinion of the Governor the powers conferred by
subsection
are, or have proved to be, inadequate for the purpose, the
Governor
for the purpose of preventing or reducing pollution, or the risk
of
ution, take, as respects the ship or its cargo, any action of any
kind
soever, and without limiting the generality of the
foregoing the
rnor may--
do anything he has power to require to be done by a direction
under
ection (2);
cause operations to be undertaken for the sinking or
destruction of
ship, or any part of it, of a kind which is not within the means
of
person to whom he may give such a direction;
cause operations to be undertaken which involve taking over
control of
ship.
The powers of the Governor under subsection (4) may also be
exercised
uch persons as may be authorized in that behalf by the Governor.
A person concerned in complying with directions given, or in
action
n, under this section shall use his best endeavours to avoid risk
to
n life.
Nothing in this section shall derogate from or affect any
right or
r of the Government existing apart from this section whether
under
rnational law or otherwise.
Any action taken as respects a ship which is under arrest
or as
ects the cargo of such a ship, being action taken under a
direction
n under subsection (2), or under subsection (4) or (5)--
does not constitute contempt of court; and
shall not constitute a ground or cause of action in legal
proceedings

In this section--

In determining whether subsection (1) applies in a particular

the extent and risk of pollution if the action had not been taken;
the likelihood of the action being effective; and
the extent of the damage which has been caused by the action.
Any reference in this section to the taking of any action
includes a

A person to whom a direction is given under section 6 (2) who fails
to
ly with any requirement of the direction, commits an offence.
A person who wilfully obstructs any person who is--
acting on behalf of the Governor in connection with the
giving or
ice of a direction under section 6 (2);
acting in compliance with such a direction; or
acting under subsection (4) or (5) of that section,

In proceedings for an offence under subsection (1), it shall
be a

he used all due diligence to secure compliance with the direction;

A person who commits an offence under this section is liable-

If the Governor is satisfied that a company or other body
corporate is
